UltraClean to acquire Quantum Global for its microcontamination analytical services

Ultra Clean Holdings Inc., Hayward, Calif., has signed an agreement to acquire Quantum Global Technologies (QGT), Philadelphia, for $342 million. QGT is a leading developer and supplier of critical subsystems for the semiconductor and display capital equipment industries.

 

QGT and its divisions ChemTrace and QuantumClean provide ultra-high purity, sub-10-nm outsourced process tool chamber parts cleaning and coating services, tool part life extension, microcontamination analytical services, and other optimization solutions to the semiconductor wafer fabrication OEM and OPM industries.

 

QuantumClean employs 1500 people in 19 facilities located in eight countries. ChemTrace focuses on semiconductor, solar, and related industries, and employs about 100 in five labs in three countries.

Under the agreement, Ultra Clean will pay about $342 million in cash for QGT. In 2017, QGT generated revenue of $217.9 million and net income of $22 million. Ultra Clean expects the deal to close in the third quarter, while adding to its net income in the fourth quarter. Customary conditions apply, including the expiration or termination of the waiting period under the Hart Scott Rodino Act.
